I am a 51-year-old who the company has recently terminated due to change of management. I have 20 years of admin and operations experience but I have only worked in one company all my life. Getting free education for your PG might be difficult. My family have a private limited firm which owns a industrial land where my firm ( partnership firm) manufacture goods. Im taking loan from bank by mortgaging the Land, but the banker told me that due to sec185 violation they could not go ahead. The partnership firm has me and my dad as partners. The private limited firm owns the land and only get revenue by rent from partnership firm, the directors in Pvt limited is my mother and chacha and his son. Shareholding is also distributed amongst the directors where my mother owns 51% and chacha family owns 49%. Can there be any exception to sec 185 to get the land mortgaged in bank and get funding for business.
Ans: It seems you are in a bit of a complicated situation regarding the structure of your business, as well as the banking concern related to Section 185 of the Companies Act, 2013. Section 185, prohibits companies from granting loans, providing guarantees, or furnishing security to any of its directors or firms/organizations wherein the directors are interested. In your case, since it is a private limited firm and your family members are involved with the firm as directors and shareholders. This may be raising red flags in the mind of the bank.

But how this is done will also depend on how you see it, as there are certain exceptions laid down in Section 185(2), A firm can provide loans or offer security to another firm where the directors or their relatives have an interest, but only if certain conditions are met. The main requirement is passing a special resolution in the company's general meeting. Additionally, the loan or security must be given as part of the company's normal business activities and at fair, market-based rates.
Since your mother owns 51% of the private limited company, you could propose passing this special resolution with her support. You’ll need to make sure that the terms of the loan or mortgage are transparent and in the company’s best interest, not just yours or your father’s as partners in the partnership firm.
It may also prove helpful to contemplate seeking professional legal advice to examine whether restructuring the business in some ways can bypass restrictions. For example, this could be the creation of a slightly more divided ownership structure or an agreement to lease to satisfy some of the bank's concerns.
You should also go back to the bank and explain them all these. They may have some suggestions or might point you to some specific provisions of which if you meet them they may be in a position to consider advancing the mortgage to you.

Bottom line is to avoid the appearance that the private limited firm is lending to directors or their immediate family members in violation of legal regulations, so if you can structure the transaction so that it looks like an arrangement within the bounds of the law, then, for business finance purposes, you should be okay to go ahead with the loan using the property as security.

She is telanted girl, My daughter, choses PCBM for higher secondry as she wanted to pursue jee. But as she is enrolled in IB school in. mp not sure about her choice. Should she needs to change school that offers cbse curriculum or go foe additional lear ing support like on line coachings apart from her regular school classes. Aldo she worries, is she doesn't score well in competition exams what would be her further ootions be like in abroad or inboard education.
Ans: For JEE, Siddiqui Sir, she should go to a CBSE school instead of an IB school because IB is too strict and she can't study for JEE and other engineering entrance exams there. Also, getting a good Percentile or Rank in the Engineering Entrances is necessary to get into any well-known college. When you pick out a CBSE school and teaching center for her, make sure it's not too far from her house and that the fees are reasonable for you. How well her online coaching classes work will depend on how motivated, dedicated, and smart she is when she studies (as you have mentioned she is a talented girl, this should not be a problem). If it's possible, you can even try to get into a UG program abroad by studying for the SAT. This shouldn't be too hard for her since she already has an IB degree. Please talk to your daughter about what she wants. And you should make your choice at least one year ahead of time, before she finishes 12th grade. Sir, Greetings at onset on the auspicious occasion of Navratri. Following is in reference to my daughter who's pursuing B Tech (1 yr now) in computer engineering & Data Sc. There is a course (BS in Data Sc) via distance learning mode from IIT Madras. Question 1. what kind of milage student will get from this course (BS on top of B Tech) in career / job placement etc. Question 2. How much is it feasible to handle both ends - college full time course and then the BS course, given the time and dedication required. Kind regards

Your daughter is in 1st year and pursuing CSE + DS which is a promising branch in engineering from a future point of view.
Going for a BS course in Data Science is a welcome move. Here is the pointwise reply to your queries.
(1) IIT Madras is a brand name. The future score for opting for BS (DS) will boost your daughter's career. This course will give a long mileage in terms of career and job placement point of view.
(2) As your daughter is in 1st year, It would be difficult to handle both courses at a time. It is not advisable to join BS in distance learning mode just in 1st year. Let your daughter settle down at least in 1st year, then you can think about joining BS from 2nd year.
(3) Basically, it would be preferable if a candidate opts for M.Tech.and then simultaneously joins BS.
(4) A lot of time and dedication is required. Many students are not able to handle this peer pressure. Please discuss this issue with your daughter, know her timetable, and know the available leisure time. If all parameters work perfectly, then decide to go for distance learning BS else, drop the idea at least for 2 years.

Dear Sir/ Ma'am , I am Mantun Kumar Singh from Indian Air Force working as a Technician since Sep 2006. Presently, I am pursuing Bachelor of Library and Information Science from IGNOU, Delhi as part of acquiring higher qualification. After 2 years, I will be completed initial engagement of service and then I can leave service as an Ex-Service man. (For promotion, I will be bound to serve another 3 years after initial engagement and further I will be working as an Middle Man Manager). (ii) If I opt to go out from service then which sector will be suitable for me ? (As I have worked in Technical Trade- Electronic and Telicommunication in Aviation Segment and 14 Years of experience in Office Management, Planning and Management of Manpower and Technical resources to have a better maintenance of aircraft as well as associated equipments). Leave your service only if you have a good job at hand else it should not happen that you do not have anything at hand at the end of the day. Can pursue Executive MBA. Your goal is palpable. To do an M.Tech. from abroad, you must start building your foundation right now. From the options put by you, prefer BS @ IIT Madras if you trust in the brand name because it is a highly reputed institution, will add value to your profile, and may boost your chances for admission to top foreign universities. The only thing is that it may take a long time to complete the course and your waiting period may extend a little bit. But if you are conscious about the time factor and want more flexibility then you may choose Udemy and Coursera platforms. Both are recognized platforms. Certificates can still enhance your profile, though not as much as a full degree. Coursera and Udemy certificates, while useful, don’t carry the same weight as a degree from an IIT.
Suggestion: IIT Madras' BS course is an excellent choice, especially if you want a well-rounded, recognized qualification.

I graduated in 2022 with a computer science degree from a mediocre college where the teachers couldn’t speak English fluently. They taught us primarily through blackboard learning, rote memorization, and notes, often asking predictable questions from previous exams. Due to COVID disruptions and online learning, I struggled to concentrate on my studies. Despite trying to learn programming through courses, I couldn’t become proficient and failed to secure a job through campus placements. Up to class 5, I was a malnourished and stunted child, often fainting. I’ve read that malnutrition and stunting can limit cognitive intelligence and lead to poor learning ability and capacity. Unfortunately, I did not receive a quality education in school as my family couldn’t afford better options, so I attended an unrecognized school up to class 8. I only managed to clear the college entrance exam through rote learning and procedural knowledge of mathematics. As an adult, I am stunted (5 ft), which makes me ineligible for many jobs, and I have weak vocal cords, making presentations difficult. I tried to take government job exams, but my memory suffered due to COVID. I don’t know what to do or how to get a job and what to learn. I struggle to retain most information. Am I completely helpless? I have a “Corona Degree” (passed without exams). Will this degree hold weight in the future? What should I pursue to become skilled enough to get any job?

To begin, please stop thinking badly about yourself and the things around you. Second, you find your interests for your career, make a list of them, and try to get better at what you do.
